Preliminary phase

Discussion about goals with the company owner of the asset, preparation of marketing documents (teaser and Information memorandum), identification and approach of a potential investor.

Execution

Analysis of non-binding offers, coordination of the procedure agreed, collection and analysis of binding offer to support negotiation and closing.

Transactional Services

  • Appointment by the Client

    Appointment as a “consultant”:  Ricerchimica team is fully dedicated to the client needs and operate in order to maximize the asset value

    Reimbursement of expenses (on a “case by case basis”): Normally a reimbursement on a monthly basis is required to cover the expenses (travelling, meetings, etc..)

    Remuneration on a “success fee” basis: according to the Lehman scale or other specific agreements (fixed percentage)

    Exclusivity: Ricerchimica asks for a short period of exclusivity in order to maximize the results  avoiding overlapping and misunderstandings

    Short timing (3-6 months): Ricerchimica is strongly convinced that a divesting process has to be fast, 6 months is the maximum time necessary to reach the success

  • Proposal Definition

    Preliminary asset evaluation: In this phase Ricerchimica shares with the client the main parameters for a correct evaluation of the assets in order to define the amount requested for the transaction

    Offering strategy definition: Depending on the asset Ricerchimica can proceed with two different approach

    • Tender
    • Single deal

    •  Non confidential offering memorandum
    •  Confidentiality agreement draft
    •  Confidential offering memorandum

    All the document are prepared by Bioselenia and after the client approval, presented to the targets

  • Target’s Contact

    Preliminary list of the target: Sharing of a preliminary list of target to be approved by the client

    Short list definition according to the strategy to be followed (tender\single deal)

    Target contact through direct meetings performed by our team

  • Offering and Negotiation Process

    Delivery of  the non confidential memorandum only to the interested candidates (non-binding offer request, depending on the process strategy)

    Set up of Confidentiality Agreement with the candidates confirming interest

    Delivery of  the confidential memorandum (binding offer request/negotiation, depending on the process strategy)

    Selection of the preferred candidate

    Due diligence performed by the preferred candidate

  • Agreement

    Definition of detailed final conditions (term sheet definition)

    Assistance in drafting the agreement (if requested)

    Acquirer’s lawyer needed for legal advise
